What is an Initial Public Offering (IPO)?
A maiden public issue of shares by a company is termed as an Initial Public Offering (IPO). It is often treated as a milestone in a company’s lifecycle and usually marks the transition from a small closely-held company to a listed entity. Most IPOs are done by smaller, younger companies which need capital to expand their business. However, often they are also done by large privately-owned companies looking to become publicly-traded. The new investors who come in the company by way of owning shares, through the IPO become members of the family of existing shareholders.

Why do companies go for an IPO? What are its benefits?
Companies float an IPO to raise capital. Listed companies get access to cheaper capital. Since they are more compliant and transparent, and are subjected to scrutiny by various authorities, they can get access to lower interest rates when they issue debt. A listed company can issue more stock and raise fresh capital faster than an unlisted company. They can also offer their own stock to buy out a company. Hence, mergers and acquisitions are easier for listed companies since they can issue stock as part of the deal. A listed company can offer ESOPs to employees, which is an attractive retention tool. There is also a considerable amount of prestige that follows a successful listing.

How can an IPO be structured?
An IPO can be done either through a fresh issue of shares or through an offer for sale of existing shares to investors. If fresh shares are issued, the company’s fresh capital is injected into the business and its equity base increases. The stake of existing investors in the company decreases, to that extent. When existing shareholders of the company sell equity shares that they own, then it is called an offer for sale. In this case, there is no infusion of money in the company. The existing shareholders, sell their stake usually for a profit.
How long does it take for a company to list post-IPO?
In a recent directive, Sebi has ordered companies to get their issue listed within 12 days, from the date of closure of the IPO. Earlier, it took companies 22 days to list the IPO.

How is an IPO priced?
IPOs are priced by companies in conjunction with merchant bankers. Essentially, there are two ways of pricing an IPO — the fixed-price route and the bookbuilding option. In a fixed-price mechanism, the price at which the shares are issued to the public is disclosed, before the issue opens for subscription. In the book-building process, the company announces a price band within which investors have to bid for the shares. The lower end of the price range is called the floor and the upper end is called the cap. After the bidding process is complete, the cut-off price is arrived at based on the demand of securities. Retail investors have the option of bidding at a cut-off price.

Looking at this attractive market size & the future where the e-retailing is to take off in India, Future Group, India’s largest retailer, is going digital in a big way. Future group aims to sell wide range of products from bedspreads to trendmills through internet, mobile phones, TV & dedicated kiosk.

In addition to the group’s online retail arm, Future E-commerce, who already operates an e-commerce portal, it will launch new initiatives such as marketing through mobile phones & virtual shopping through manned kiosks.

Kishore Biyani, Group CEO, with the view that most of people in urban areas spend 8 to 10 hours in a day on one of the four screens, says that this translates into huge sales potential.

The company owned futurebazaar.com will increase the number of products available online significantly. At present, there are 4000 SKU’s at futurebazaar.com compared with 1.6 lakh SKU’s that an average Big Bazaar store stocks. The company is targeting sales of Rs. 300 crore from digital commerce in first year.

In order to grow in virtual world the company is in talks to acquire a small IT company with about 150 personnel to develop and maintain contents & websites.

As per routine Manzeal Team brings you yet another wholesale market. This time its something aromatic. We bring to you a wholesale market for Flowers.

Phool Gully, located at Dadar (West) is popular for all kinds of flowers starting from a common flower like Mogra to Roses to Gerberas to carnations to orchid to LAXMI Kamal (Lotus). The market also has wide range of flowers to offer for Pooja (Prayer) like Tulsi Leaves. Market is flooded with all kind of Roses viz. white, pink, red, yellow, etc. and various kinds of flowers, Garlands & Bouquets.

One can find dealers having a small kiosk, a store or big stores selling multiple products (flowers). Sight of hawkers is very common on both side of road giving the market a chaotic look. The market starts at 5 am and the busy hours of market is 5 am to 11.30 am this is the period when all the retail vendors visit the market. Rest of the time it is open for the ultimate customers.

On inquiry with the vendors there we learned that many online flower bouquets selling websites source flowers from here to cater to their Mumbai market specially. Also majority of hawkers selling flowers in and around Mumbai source flowers from this market. The market operates at reasonable profit margin. We learned that a small size bouquets having 5-6 flowers will cost about Rs. 60 – 80 while they are sold in retail at around Rs. 120 – 160. Similarly Medium size bouquets of 12 Pink Roses with seasonal fillers wrapped in cellophane with a ribbon bow will cost around Rs. 180 while they are sold online and offline at about Rs. 349 – 399.

Similarly large size bouquets with about 20 fresh yellow roses will cost about Rs. 280 – Rs. 300 which is sold at Rs. 500 – Rs. 550 in retail market. It was bought to our notice that the prices of flowers fluctuates with change in season and also on law of demand and supply. For e.g. during the month of February the prices of red rose shoot up due to heavy demand on occasion of Valentines Day.

How to Reach Phool Gully?
Market is very close to Dadar Station. Just stepping out of Dadar (West) station you will find yourself in the flower market. Dadar is a popular station on Western Line.

About Tabbles
Tabbles is a excellent tool for file management. Its great tool for entrepreneurs in particular and everyone in general to manage files effectively and save lot of time on searching the files stored in hard drive.

Managing files in a system is difficult specially when you want that one file to be associated with many different folders. Just imagine a file named “smith”. Smith is your customer. You may create different files for him like Smith_Invoice, Smith_Quotations, other correspondence to smith. And you want all these files to be under different folders. For example you want a Folder named Smith where you will have copies of all these files, again you have one more folder for quotations where you want smith_quotations files and also one folder for invoice where you want smith_invoice file.

Now just imagine you edit file smith_quotations. You need to update in all the folders like smith & quotations. If you don’t do it you end up creating many versions of files and also it leads to duplication of files, complete confusion between various versions of same file.

To sort out this problem Tabbles is a simple answer. It not only makes file management simple but also saves disk space. This is amazing software I have ever used. What is Tabbles?

A tabble is a tag-bubble
The word tabble stands for “tag-bubble”, sometimes they behave like a tag, some other times like a container. With Tabbles you can categorize your files, folders or internet addresses by cross-linking them to one or more tabbles.Since Tabbles is a deskop application, it’s well integrated into the Microsoft Windows environment: categorization can be done using the usual explorer functions, such as copy-and-paste, drag-and-drop (keyboard shortcuts and right-button menu included) or using the buttons on the tabble’s. The categories are groups of tabbles sharing color and shape.

Tabbles is a free application and can be used to better manage your files even if you have a habit of dumping all your files in one place.

Let us understand what the tabbles is in a brief video below

This application allows you to tag your files and keep them in virtual folders without duplicating it. For example if you have an invoice for Mr Smith you can tag it with Customer and Invoice both. So when you go to your invoice folder you see it there and when you go to Customer Smith folder you can see all the document related to him including the invoice.

Features of Tabbles:
Uses tagging system for managing files
Avoids duplication
Cross linking of files
Makes organizing files easy
Saves disk space
Grouping makes file management simple

Versions Available:
Tabbles comes in a different Version. The application is available in Student, Home, Business & Portable Version. The software is available for free for managing upto 1000 files this one is the basic version. However for managing files more than 1000 in numbers for corporate and business use you will need business edition.

Facebook is one of the Web’s most popular destinations with about 50% of Facebook’s 400 million users checking in daily. With a view to expand its empire beyond its website, the company wants to turn many sites across the internet into satellites where users will be able to interact with their Facebook friends.

The first move taken by the company is they replaced ‘Become a Fan’ button on the fan page to universal ‘Like’ button. The action is taken with the foresight that the ‘Like’ button will make it easier for Web Publishers to offer more social experiences, in essence allowing Facebook friends to enjoy those sites together.

Buyer Beware!

To review the Indiatimes Shopping for manzeal.com I purchased MP3 Player from Indiatimes Shopping. Indiatimes Shopping works on the similar lines of ebay (Market Place), they help buyers and sellers to connect. Indiatimes Shopping have lots of seller and many products available. In my quest to understand the genuineness of sellers on Indiatimes I purchased MP3 Player from one of the seller on Indiatimes.

The MP3 Player I purchased was 2 GB Branded (reputed one) Player. The site was very user friendly. I searched for my choice of MP3 Player in no time. There were various options available for MP3 Player of same as well as different brands from various sellers. I found one seller very reasonable and placed order with them. They offered 3 Months Warranty on it. It took about 3 mins for me to make payment and process my order.

I received my MP3 Player on 8th Day as promised by them (Delivery within 15 days). I was really happy to open the parcel I received. When I opened the parcel I found the case cracked may be its problem with delivery guys. On attaching the player to my PC I noticed that it shows 2 GB space in properties, then I started copying songs on the player memory and discovered that the memory shown was fake. I was not able to copy songs, the error message popped up “Insufficient memory”

I tried formatting the memory but invain. There was no out come of this act. Finally I decided to call up the seller who sold me the player. I tried contacting on the numbers provided on the invoice (I received with parcel). I tried all their contact numbers to my surprise all the numbers provided by them were out of order. I soon realized that I am cheated by them. Then finally I called up Indiatimes Shopping Customer Care and reported my problem to them.

They gave me assurance to replace the piece within 15 days. They gave me some Order Replacement Number (its basically reference number for my complaint). I waited for 15 days and no actions was taken by them. I called up again and this time I did not complain about my product as there was no option, even they could not do anything, I advised them to check genuineness of the sellers before allowing them to display products on Indiatimes Shopping Portal.

Buyers beware before placing order on Indiatimes Shopping.
